This legal notice regulates the conditions of use of the mentioned Application.

The Spanish language version of this Agreement will be considered the definitive version. Translations into other languages, if made available in this service, may be consulted only as a reference.

Interpretation and Definitions

Interpretation

Words whose initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

Definitions

For the purposes of these Terms and Conditions:

• Application means the software program provided by the Company, downloaded by You on any electronic device, mobile phone, laptop, or tablet, called MesaParaTi.
• App Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
• Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
• Country refers to: Spain
• Company (referred to as “the Company”, “We”, or “Our” in this Agreement) refers to MesaParaTi.
• Device means any electronic device that can access the Service such as a laptop, a mobile phone, or a digital tablet.
• Service refers to the Application.
• Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
• Confidential Information means information related to us, the Service, or the users that is not known to the general public including, but not limited to, any information that identifies or is unique to specific customers; reports, insights, and other information about the Services, data derived from the Services, except for data (non-personal) originated from the sale of their products, including products sold, prices, sales, volumes, and transaction duration. For the purposes of this Agreement, the user’s personal data constitutes Confidential Information at all times.

Service Description

The MesaParaTi service allows for the reservation of tables in bars and restaurants as well as enabling customers to place orders directly from their table once they are in the establishment. The platform offers an intuitive and flexible reservation system that benefits both diners and the managers of the establishments, optimizing space management and improving operational efficiency.

The application also allows establishments to protect themselves against late cancellations or incomplete reservations by implementing security measures that ensure a fairer and more transparent reservation process for both customers and restaurants. MesaParaTi incorporates a confirmation and commitment system that minimizes the risk of fraudulent reservations, requiring users to provide prior confirmation that guarantees their intention to attend.

Acknowledgment

These Terms and Conditions govern the use of this Service and the agreement between You and the Company. They establish the rights and obligations of all users regarding the use of the Service and contain the conditions of access and use of the Service.

Your access and use of the Service are conditioned on your acceptance and compliance with these Terms and Conditions. These apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, You agree to be bound by these Terms and Conditions. If you disagree with any part of them, you may not access the Service.

You declare that you are over 18 years of age. The Company does not allow the use of the Service by minors under 18.

Your access and use of the Service are also conditioned on your acceptance and compliance with the Company’s Privacy Policy. Our Privacy Policy describes our policies and procedures on the collection, use, and disclosure of your personal information when you use the Application or the Website and informs you about your privacy rights and how the law protects you. Please read our Privacy Policy carefully before using our Service.

Registration

To begin the registration process, you must complete the registration process on the Service. By registering or using any Service, You confirm that you choose the service based on your own discretion and consideration. The use of the Service is limited to parties who can legally form contracts under applicable law. As part of the application, you must provide us with your name, address, telephone number, and email address, as well as any other information we may request. Any personal data you provide to us will be treated in accordance with MesaParaTi’s Privacy Policy.

Password Security

You are solely responsible for maintaining the security of your password. You may not disclose your password to any third party and will be solely responsible for any use or action taken under your password. If you believe your password is at risk, you should change it immediately.

MesaParaTi provides the necessary mechanisms for the management and secure storage of user information. The platform uses advanced encryption technologies and strict security protocols to ensure that passwords and personal data are protected against unauthorized access.

Payment Provider Authorization

At the end of the ordering process on our platform, the customer will be redirected to the secure environment of Stripe, our payment service provider, to enter their financial information. This redirection ensures that all payment data is handled within an environment certified by PCI DSS (Payment Card Industry Data Security Standard).

The payment interface, designed and managed by Stripe, maintains visual consistency with our application to offer a seamless user experience, though operationally it runs on Stripe’s servers. This ensures that payment information is processed securely, without our intervention or knowledge of such information by us or the affiliated establishments, reinforcing protection against unauthorized access and data security risks.

Once the payment is authorized and processed by Stripe, the customer is redirected back to our application, to a confirmation page that resumes the design and familiar ambiance of our service. This flow not only complies with the strictest financial data security regulations but also provides peace of mind to our users knowing that their sensitive information is being handled with the highest standards of security and privacy.

Reservation Cancellation Policy

By making a reservation through the MesaParaTi platform, the user commits to providing their payment information, following a protocol that optionally enables establishments to determine the application of charges for non-compliance according to their own cancellation policies.

In the event that the user honors their reservation by attending as agreed, no additional charges will be made. However, in situations of non-attendance without prior notice (“no show”) or cancellation outside the period defined by the establishment, the user will be given a margin of five days from the reservation date to present justifications explaining their absence. Based on the evaluation of this documentation, each establishment has the authority to decide whether to proceed with the imposition of the non-compliance charge.

The decision to apply or not apply such a charge, considering the presented circumstances, lies exclusively in the discretion of the establishment. In this context, MesaParaTi acts only as an intermediary in the reservation process, without exerting influence or assuming any responsibility for the decisions made by the establishments regarding the application of cancellation or no-show charges.

It is warned that any attempt by the user to evade the charges established for non-compliance with the cancellation policies may result in the initiation of legal actions by MesaParaTi, in defense of the interests of the establishments affiliated with its platform.

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Furthermore, you acknowledge and agree that the Company shall not be responsible, directly or indirectly, for any damage or loss caused in connection with the use of or reliance on any such content, goods, or services available through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms and Conditions.

In any case, we may terminate your use of the Service if we detect that your account has been, or our controls identify that it may be, used for deceptive, fraudulent, or illegal activities.

Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

The Company and any of its suppliers shall be exempt from any type of liability for the Use of this Service under the following terms:

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages of any kind (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails its essential purpose.

Applicable Law and Jurisdiction

Generally, the relationships between the Application and the users are subject to Spanish legislation and jurisdiction.

The parties expressly waive any other jurisdiction that may correspond to them and expressly submit to the Courts of A Coruña to resolve any controversy that may arise in the interpretation or execution of these contractual conditions.

Dispute Resolution

In the event of a claim or dispute regarding the Service, you agree to first attempt to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If you are a consumer in the European Union, you will benefit from any mandatory provisions of the law of the country in which you reside.

United States Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as specifically set forth herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 15 days’ notice before any new terms take effect.

However, we may change or modify the Agreement at any time with immediate effect (a) for legal, fraud prevention, abuse, or security reasons; (b) to change existing functionalities or add additional functionalities to the Services (when this does not materially adversely affect your use of the Services); or (c) to restrict products or activities that we consider unsafe, inappropriate, or offensive.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Intellectual and Industrial Property

The intellectual property rights of the content of the Application, its graphic design, and codes are owned by MesaParaTI, and, therefore, their reproduction, distribution, public communication, transformation, or any other activity carried out with the contents of the Application, even citing the sources, is prohibited without the prior, express, and written consent of MesaParaTi. All commercial names, brands, or distinctive signs of any kind contained in the Application are the property of their owners and are protected by law.

MesaParaTi does not grant any license or authorization of use of any kind on its intellectual and industrial property rights or on any other property or right related to the Application, and under no circumstances shall it be understood that the access and navigation of the users implies a renunciation, transmission, license, or total or partial cession of such rights by MesaParaTi.

Any use of these contents not previously authorized by MesaParaTi will be considered a serious breach of the intellectual or industrial property rights and will lead to the legally established responsibilities. MesaParaTi reserves the right to exercise the corresponding legal and extrajudicial actions against the user.
